Terms of Service

1. Acceptance of Terms

By registering for or using CatalogMint ("Service", "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Service. These Terms form a legally binding contract between you ("User", "you") and CatalogMint.

2. Description of Service

CatalogMint is a cloud-based visual catalog platform that enables businesses to create, manage, and share product catalogs. Core capabilities include:

  • AI-assisted content generation (titles, descriptions, tags)
  • Catalog building, design customisation, and secure sharing via link or QR code
  • Customer inquiry management (WhatsApp, email, and form)
  • Analytics, PDF export, and team collaboration (paid plans)

3. Account Registration

To access features beyond viewing a shared catalog, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security and confidentiality of your password
  • Notify us immediately of any unauthorised access to your account
  • Be responsible for all activity that occurs under your account

4. Subscription Plans & Billing

CatalogMint offers both a free plan and paid subscription plans. By selecting a paid plan:

  • You authorise us (or our third-party payment processors) to charge your payment method on the recurring billing cycle you select
  • Subscriptions renew automatically at the end of each period unless cancelled before the renewal date
  • Subscription fees are non-refundable, including for any unused portion of a billing period, except where a refund is required by applicable law
  • We reserve the right to modify plan pricing with 30 days' notice; continued use after the notice period constitutes acceptance
  • If a recurring payment fails, your account enters a grace period during which we may retry payment; if payment is not resolved, paid features may be suspended and, ultimately, the account may be downgraded to the free plan

5. Cancellation, Downgrades & Plan Limits

You control your subscription from the Plan page in your dashboard. The following applies to cancellations, downgrades, and usage that exceeds your plan's limits:

  • Cancellation: you may cancel a paid subscription at any time. Cancellation takes effect at the end of your current billing period — you keep full access to your paid features until that date, after which your account automatically moves to the free plan. No refund is issued for the current or any unused portion of the billing period.
  • Downgrades: a downgrade to a lower-priced plan takes effect at the end of the current billing period. Your existing catalogs and content are never deleted as a result of a downgrade.
  • Plan limits: each plan includes limits (for example, on the number of catalogs and the amount of image storage). If your usage exceeds the limits of your current plan — for instance after a downgrade — you will not be able to create new catalogs beyond the limit, and your publicly shared catalog links may be temporarily paused until your usage is brought back within the plan's limits (by deleting excess catalogs or images) or you upgrade. Paused links resume automatically once you are within limits.
  • Feature availability: some features are available only on specific plans. The public Storefront, in particular, is a paid-plan feature; if you move to a plan that does not include it, your public storefront page will be taken offline until you upgrade to a plan that includes it. Your underlying catalog and product data are retained.
  • No content is deleted automatically as a result of a downgrade or cancellation; data deletion follows the retention terms in the Termination section below.

6. Acceptable Use

You agree not to use the Service to:

  • Upload or distribute content that is illegal, harmful, abusive, or infringing
  • Attempt to reverse-engineer, decompile, or disrupt the platform
  • Send unsolicited commercial messages or spam via the inquiry system
  • Impersonate another person or entity
  • Use the Service to store or transmit sensitive personal data beyond what is necessary for normal catalog operations

7. Intellectual Property

You retain all rights to the content you upload (photos, product descriptions, branding). By uploading content, you grant CatalogMint a limited, non-exclusive licence to store, display, and process that content for the purpose of providing the Service. CatalogMint retains all intellectual property rights in the platform, software, and documentation.

8. AI-Generated Content

CatalogMint uses third-party AI models to generate product titles, descriptions, and tags. By using AI-generation features, you acknowledge that:

  • AI-generated content is provided "as-is" and may be inaccurate or incomplete
  • You are solely responsible for reviewing and verifying all AI-generated content before publishing
  • CatalogMint makes no warranties regarding the accuracy or fitness of AI-generated content
  • Your prompts and uploaded images may be processed by third-party AI providers subject to their own privacy policies

9. Third-Party Services

The Service relies on third-party providers to function. By using CatalogMint you acknowledge that these providers operate under their own terms and privacy policies, and that your use of the relevant features is also subject to those terms:

  • Payment processing is handled by third-party payment providers; we do not store full card details
  • AI content features are powered by third-party AI providers
  • We use third-party services for cloud hosting and storage, email delivery, bot/abuse protection, and aggregate analytics
  • Features you choose to configure — such as connecting your own analytics or messaging (e.g. WhatsApp) to your catalogs or storefront — are your responsibility and are governed by those third parties' terms and your own policies
  • We are not responsible for the availability, content, or practices of third-party services, and their inclusion does not imply endorsement

10. Disclaimer of Warranties

The Service is provided on an "as-is" and "as-available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that it will meet your specific requirements. The free plan is provided without any service-level commitment. Your use of the Service is at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, CatalogMint shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the Service. Our total aggregate liability to you for any claim shall not exceed the fees paid by you to CatalogMint in the 12 months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless CatalogMint and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with: (a) the content you upload or publish; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.

13. Termination

You may cancel a paid subscription at any time from your dashboard, as described in the Cancellation section above. To close and delete your account entirely, contact us at support@catalogmint.com. We reserve the right to suspend or terminate accounts that violate these Terms. Following account closure or termination, your data is retained for 30 days and then permanently deleted, unless we are legally required to retain it longer.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the new Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada. Any dispute shall first be subject to good-faith negotiation. If unresolved, it shall be referred to the courts of Ontario, Canada.
